Affiliate Program Terms and Conditions

Effective January 1, 2026.

These Affiliate Program Terms and Conditions (the "Agreement") are entered into between Business Structuring Secrets, LLC, a Utah limited liability company ("BSS," "we," "us," or "our"), and you ("Affiliate," "you," or "your"). By applying to, enrolling in, or participating in the BSS Affiliate Program (the "Program"), you agree to be bound by this Agreement.

1. Overview of the Program

The Program allows approved Affiliates to promote BSS services and earn commissions on qualifying sales made through their unique tracking link. BSS provides legal education and document-preparation services; it does not provide legal, tax, or financial advice. Nothing in the Program authorizes you to provide such advice or to represent that BSS does.

2. Enrollment and Eligibility

• You must submit an application and be approved by BSS before participating. After you apply, you will receive a series of automated onboarding emails, typically beginning within 24 to 48 hours; one of those emails contains instructions for completing your IRS Form W-9. Approval is at our sole discretion, and we may decline or revoke enrollment at any time.

• You must be at least 18 years old and legally able to enter into this Agreement.

• You must provide accurate registration information, including a valid PayPal email for payouts, and a completed IRS Form W-9 (or, for non-U.S. Affiliates, the applicable Form W-8), following the instructions provided in your onboarding emails, before your first payout is issued.

• You may hold only one Affiliate account. Opening multiple accounts, or an account under another person's name, a fictitious name, or an entity used merely to obtain commissions, may result in termination and forfeiture of pending commissions.

• Your Affiliate account is personal to you. It may not be sold, pledged, transferred, or assigned, and it may not be used by any person or entity other than the registered account holder. You agree to notify BSS in writing within 24 hours if the legal name or ownership of your business or account changes.

• You represent and warrant that there are no pending or prior government investigations, inquiries, or proceedings (including by the Federal Trade Commission or any state agency), and no private lawsuits, against you relating to alleged consumer-protection, advertising, or intentional-tort claims. If you become the subject of any such matter after enrollment, you will notify BSS within 24 hours, and BSS may terminate your participation in its sole discretion.

• Employees, contractors, and immediate family members of BSS may participate only where permitted by BSS and applicable law.

3. Consent to Be Contacted; Electronic Communications

You expressly consent to be contacted by BSS, and by third parties acting on its behalf, at the email address and telephone number you provide, regarding your application and the Program, including through automated dialing systems, prerecorded or artificial-voice messages, and SMS or text messages. Message and data rates may apply, and message frequency may vary. This consent is not a condition of any purchase. You may opt out of promotional messages as described in those messages or by contacting BSS; transactional messages relating to your account and payouts may continue. You also consent to transact electronically, to receive Program notices electronically, and to the use of electronic signatures and records in connection with the Program.

4. License and Use of BSS Materials

BSS grants you a limited, non-exclusive, non-transferable, revocable license to use BSS-approved names, logos, links, and promotional materials solely to promote BSS during the term of this Agreement. You may not modify BSS materials, create the impression of an official BSS property, or use the marks in any way that is misleading or disparaging. You may not register, or attempt to register, any BSS name, mark, or a confusingly similar variation as a trademark, business name, social handle, or domain name, and you may not use BSS marks in a URL or domain. All goodwill from your use of the marks inures to BSS.

5. Commissions

Commission rate. Approved Affiliates earn a Tier 1 commission of 10% on qualifying sales, and a Tier 2 commission of 4% on qualifying sales generated by sub-affiliates they refer, consistent with the tiered structure configured in the Program.

Qualifying sales. Commissions are payable only on BSS service revenue designated by BSS as commissionable. Commissions are not payable on government or third-party pass-through amounts (including state filing fees, registered-agent fees, expedited fees, late fees, and similar fees collected on behalf of a state or provider), taxes, shipping, refunded or charged-back amounts, or products BSS designates as non-commissionable. BSS may update the list of commissionable products at any time.

Attribution. Attribution is based on last click: a sale is credited to the Affiliate whose tracking link the customer most recently clicked within a 30-day cookie window before purchase. Once a sale is credited to an Affiliate, it will not be reattributed to another Affiliate for at least 30 days. BSS may also apply attribution manually upon request in appropriate cases, and BSS has sole authority to deny or reverse a commission arising from affiliate-hopping or other conduct that creates multiple commissions for one true transaction. Where a conflict remains, BSS's tracking and its "highest amount" conflict rule govern.

Recurring commissions. Where a qualifying sale is a genuine recurring subscription (such as the Inner Circle membership), commission may continue for the duration of the active subscription, subject to this Agreement. One-time services do not generate recurring commissions.

Self-purchases and sanctioned territories. Commissions are not payable on your own purchases or accounts. Sales attributable to individuals or entities in embargoed or sanctioned territories, or to any party on a U.S. government restricted-party or Specially Designated Nationals list, are non-commissionable.

Tax documentation. You permanently waive any right to commissions earned more than 120 days before you provide a completed and accurate W-9 or W-8 and any supporting documentation BSS reasonably requests.

Adjustments. Commissions on orders later refunded, canceled, charged back, or found fraudulent will be reversed or deducted from your balance.

6. Payment Terms

• Payouts are made by PayPal once your approved commission balance meets the minimum payout threshold of $30 USD. Commissions are paid on a net-45 cadence, approximately 45 days after the qualifying sale is recorded, which also allows time for any refund or chargeback window to close.

• You are responsible for the accuracy of your payout details. BSS is not liable for payments sent to an incorrect address you provided.

• You are an independent party responsible for your own taxes. BSS will report payments as required by law and may issue a Form 1099-NEC to U.S. Affiliates paid $600 or more in a calendar year; a current W-9 must be on file for any payout to be issued.

7. Affiliate Conduct and Prohibited Activities

You agree that you will not:

• Make any false, misleading, or unsubstantiated claim about BSS, its services, results, savings, or earnings, including any guarantee of legal or tax outcomes.

• Represent that BSS provides legal advice, tax advice, or financial advice, or hold yourself out as an agent, employee, partner, or legal representative of BSS.

• Give legal, tax, or financial advice to prospects in the course of promoting BSS.

• Use spam, unsolicited email or messaging, misleading subject lines, or any marketing that violates the CAN-SPAM Act, TCPA, or other applicable law.

• Bid on, or use in paid search, BSS trademarks, brand terms, or confusingly similar variations, or direct-link from paid ads without prior written approval.

• Offer unauthorized rebates, cash-back, or incentives, use cookie stuffing, self-refer for your own purchases, or otherwise manipulate tracking.

• Disparage or comment negatively about BSS, its services, or its competitors.

• Promote BSS on any site or channel that is unlawful, or that contains hateful, defamatory, sexually explicit, or infringing content.

You must notify BSS within 24 hours of any complaint you receive regarding your promotion of BSS. BSS may audit, monitor, and review your promotional practices at any time and may suspend or terminate your participation, and forfeit unpaid commissions, for conduct that violates this Agreement.

8. Required Disclosures (FTC)

You must clearly and conspicuously disclose your material connection to BSS wherever you promote BSS, in accordance with the FTC Endorsement Guides. The disclosure must be plainly visible (not hidden in a link or small font), such as:

"Disclosure: I am an independent Business Structuring Secrets affiliate, not an employee. I receive referral compensation from BSS. The opinions expressed here are my own and are not official statements of BSS."

On Instagram, YouTube, and other social platforms, each promotional post must include a clear and conspicuous ad label (for example, #ad or the platform's paid-partnership tool) placed before the "more" cutoff, and must comply with the rules of each platform.

You may not claim or imply that using BSS or participating in the Program guarantees that anyone will make or save money. If you reference your own results, your statements must be truthful and supported by evidence, and must be accompanied by a clear and conspicuous disclaimer such as: "These were my results. Your results will vary based on your effort, circumstances, and other factors. There is no guarantee you will achieve the same results."

9. Relationship of the Parties

You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint venture, or franchise relationship. You have no authority to bind BSS, make representations on its behalf, or incur any obligation in its name.

10. No Advice; No Business Opportunity; Disclaimers

BSS provides legal education and document-preparation services and does not provide legal, tax, or financial advice. The Program is not a business opportunity, franchise, "business-in-a-box," or assisted-marketing plan. BSS does not provide sales leads or referrals to you, and does not guarantee any level of sales, earnings, or availability. The Program materials are provided "as is," without warranties of any kind. You are responsible for the resources you use to participate, and you use the Program at your own risk.

11. Confidentiality

Non-public information BSS shares with you (including commission structures, program data, and business information) is confidential and may be used only to perform under this Agreement.

12. Limitation of Liability and Indemnification

To the maximum extent permitted by law, BSS's total liability arising out of the Program will not exceed the greater of (a) the total commissions paid to you in the twelve (12) months preceding the claim or (b) $75 USD. This limitation does not apply to liability for fraud, gross negligence, or willful misconduct, or to any liability that cannot be limited under applicable law. You agree to indemnify and hold BSS harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your promotional activities, your content, your disclosures, or your breach of this Agreement. This indemnity survives termination.

13. Term and Termination

• This Agreement begins when BSS approves your enrollment and continues until terminated by either party.

• Either party may terminate at any time, with or without cause, on written notice (including by email).

• BSS may suspend or terminate your account, and withhold or reverse unpaid commissions, if you breach this Agreement, engage in fraudulent, deceptive, or unlawful conduct, or maintain a dispute or chargeback rate greater than 2%. BSS may require you to complete a verification call before your first payout; failure to do so may result in forfeiture of pending commissions.

• This Agreement terminates automatically if you earn no commissions over any 12-month period, and upon the death of the Affiliate.

• If this Agreement is terminated for your breach, you forfeit any pending or unpaid commissions. On any termination, your license to use BSS materials ends immediately and you must stop all promotion and remove BSS marks and links. Commissions accrued in good standing and above the payout threshold will be paid on the next regular cycle.

14. Governing Law, Dispute Resolution, and Class Action Waiver

This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-laws rules, except as superseded by the Federal Arbitration Act, which governs the interpretation and enforcement of this Section.

Informal resolution. Before starting arbitration, the complaining party must send the other written notice describing the dispute and the relief sought, and allow 30 days to resolve it informally. Notice to BSS must be sent by certified U.S. mail to Business Structuring Secrets, LLC, Attn: Legal, 8850 S 700 E, Unit 56, Sandy, UT 84091, with an email copy to support@businessstructuringsecrets.com. Notice to you will be sent to the contact information on your account.

Binding arbitration. If the dispute is not resolved within 30 days, any controversy or claim arising out of or relating to this Agreement or the Program shall be resolved by binding, confidential arbitration before a single neutral arbitrator, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Procedures in effect at the time the demand is submitted, conducted in the English language and seated in Salt Lake County, Utah. Judgment on the award may be entered in any court of competent jurisdiction, and the state and federal courts in Salt Lake County, Utah, have exclusive jurisdiction to enforce it.

Exceptions. Either party may (a) bring an individual claim in small-claims court, or (b) seek injunctive or other equitable relief in court to protect its intellectual property or confidential information.

Class action waiver. All disputes shall be brought solely on an individual basis. You and BSS waive any right to a jury trial and any right to bring or participate in a class, collective, consolidated, or representative proceeding. If a claim must proceed on a class or representative basis, it shall be brought in a court of competent jurisdiction rather than in arbitration.

Opt-out. You may opt out of this arbitration and class-waiver provision by sending BSS a signed written notice, at the legal-notice address above, within 30 days of first accepting this Agreement, stating your name and that you opt out of arbitration. If you opt out, disputes will be resolved in the courts of Salt Lake County, Utah, on an individual basis. Arbitration fees are governed by the applicable AAA fee schedule.

15. Force Majeure

BSS is not liable for any delay or failure to perform to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, labor disputes, war, terrorism, government action, utility or telecommunications outages, or failures of third-party service providers or the Internet.

16. Assignment

You may not assign or transfer this Agreement or your Affiliate account, in whole or in part, without BSS's prior written consent, and any purported assignment in violation of this Section is void. BSS may assign this Agreement without notice to you.

17. Survival

Provisions that by their nature should survive termination will survive, including the license restrictions, confidentiality, no-advice and disclaimer terms, limitation of liability and indemnification, the dispute-resolution and class-action-waiver terms, and any representations and warranties, together with any accrued payment obligations.

18. Modification of the Agreement or Program

BSS may modify this Agreement, the commission rates, the commissionable-product list, or any aspect of the Program at any time. Changes are effective when posted or communicated to you. Your continued participation, or your continued acceptance of commission payments, constitutes acceptance of the changes.

19. Severability

If any provision of this Agreement is found invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force and effect.

20. Entire Agreement

This Agreement is the entire agreement between the parties regarding the Program and supersedes prior discussions and agreements on the subject.

Acknowledgment

By checking the acceptance box during enrollment or by participating in the Program, you acknowledge that you have read, understood, and agree to be bound by these Affiliate Program Terms and Conditions.
